Northgate and Redde agree merger

A merger has been agreed between listed companies Redde and Northgate with the move set to create a "champion automotive services business". Northgate is a light commercial vehicle hire business in the UK, Ireland and Spain, while Redde is a support services company in the UK specialising in accident and incident management and legal services to motorists. The deal will be effected by the shares of Redde being acquired by Northgate to create a merged entity, to be called Redde Northgate plc. Avril Palmer-Baunack, currently non-executive chairman of Northgate, will become non-executive chairman of the combined group, while Martin Ward, currently chief executive of Redde, will become chief executive and an executive director. Palmer-Baunack said: "The combination will create a champion automotive services business with scale, reach and resources to provide mobility solutions to a broad customer base. "The merger has compelling strategic logic - delivering an enlarged platform providing enhanced mobility solutions for vehicles and their users throughout the automotive services value chain. "Both boards have identified significant cost synergies and opportunities for revenue cross-sell. This merger represents an attractive opportunity for both companies to further enhance their market-leading positions, delivering synergies, customer benefits and shareholder value." Davies added: "I am genuinely excited at the potential opportunities this merger brings.

UPDATE 2-Van hire firm Northgate to buy accident claims handler and ditch CEO. * Shares in Northgate fall, Redde's gain (Adds shares, deal details, financial advisers). Nov 29 (Reuters) - Commercial vehicle rental firm Northgate Plc has struck a deal to buy Redde Plc for about 394 million pounds ($505 million) in shares, expanding into accident claims services in an attempt to revive growth. Northgate also announced on Friday the immediate departure of its chief executive, Kevin Bradshaw, who will be replaced by Redde's CEO Martin Ward when the deal closes. Northgate did not give a reason for Bradshaw leaving. After closure of the deal, Northgate shareholders will own 54% of the combined company, while 46% will be held by Redde shareholders, the companies said. Northgate, which operates in the United Kingdom, Ireland and Spain with a fleet of around 100,000 vehicles, will add Redde's fleet of about 7,000 vehicles and have access to 50,000 more though its rental partnerships.

Seattle authorities have decided the city should build a new fire station in Northgate to replace an existing station where worries have long been raised about unhealthy conditions. Representatives said various problems with the building, including but not exclusively related to mold, mean building a new station will be a better use of taxpayer dollars than trying to renovate the existing Station 31. Subsequent testing by the city has also registered mycotoxins, though representatives at a Friday news conference said they don’t know whether those have caused cancer at Station 31. While a state Department of Health report counted 119 cases of cancer among the 1,622 firefighters who worked at Station 31 between 1975 and 2003, the work that all firefighters do puts them at risk for cancer.
